If a Borrower is to incorporate into any of the entities listed below, then ColeTaylor needs certified copies of these respective documents within seven days prior to closing.

If the following documents cannot be located, then the Borrower/Seller's attorney can provide an opinion letter as to the status of the entity, whether the entity is authorized to borrow/sell and who is authorized to sign on behalf of the specific entity.

Corporation

  • Copy of Articles of Incorporation
  • Copy of By-laws
  • Corporate Resolution to Borrow/Sell
  • Certificate of Good Standing
  • Tax ID Number
  • Incumbency Certificate

Limited Liability Company

  • Articles of Organization
  • Operating Agreement
  • Certificate of Good Standing
  • Specific Resolution to Borrow/Sell

General Partnership

  • Partnership Agreement
  • Specific Resolution to Borrow/Sell

Limited Partnership

  • Partnership Agreement
  • Certificate of Good Standing
  • Specific Resolution to Borrow/Sell
